Law and Economics Degree. Universidad de Deusto, Bilbao (1997).

WORK EXPERIENCE

In July 1998, she began her career as an associate lawyer at J.A. Cremades y Asociados, specialising in comprehensive advice to enterprises, basically in corporate and commercial matters and M&A.
In January 2008 she joined the Corporate Department of Rodes & Sala Abogados as a Senior Lawyer, and then became part of Mavens’ Corporate Team in October 2008. She was promoted by the firm to Head of the Business Law Department in January 2010. She is Mavens’ Compliance Officer.
At present, her activity focuses on providing legal advice in contractual matters (shareholders’ agreements and litigation for their enforcement, sale and purchase of companies and assignment of assets), including preliminary agreements, purchase and sale promises, letters of intent, lease agreements, sale and purchase agreements for movable assets and real estate, the provision of all types of services, distribution, general conditions, works execution, participation accounts, incorporation of mortgages, etc. and comprehensive advice to enterprises (commercial matters, mergers (by absorption, ordinary and extraordinary, reverse, due to a newly created company), spin-offs (due to the creation of a new company or the incorporation of another existing one), capital increases and decreases in all forms, so-called “accordion operations”, equity restructuring, shareholder contributions to offset losses, amendments in the by-laws, transfer of registered address, change of corporate purpose, change of management body, dissolutions and liquidations), including advice to companies under the supervision of the Bank of Spain and/or the Spanish Securities Market Commission (CNMV).
In addition to her corporate advice to enterprises, she participates in the legal management of various court proceedings to challenge corporate resolutions, at all instances, including the application for interim measures. Furthermore, she participates in the legal management of many lawsuits and claims (both before judicial and arbitration bodies, at all procedural instances) in relation to the subscription and acquisition of complex investment products (swaps, CFDs, barrier put options on leveraged equity, auto callable notes, subordinate fixed interest securities, collective investment funds, etc.) and the application of MiFID rules for customer protection.
