WORK EXPERIENCE

Silvia started her career as a lawyer at Uría Menéndez in September 2004 and worked for such law firm until December 2009. Throughout such time, her practice focused on commercial and company law, mergers and acquisitions, corporate governance and securities law.
In December 2009, Silvia joined Mavens as a senior lawyer, thus becoming part of the Firm’s Corporate team, where she advises mainly on company law, mergers and acquisitions and commercial contracts.
She regularly participates in M&A and corporate restructuring transactions, including sale and purchase of companies, mergers, spin-offs and other structural reorganizations, capital increases and decreases, assignment of businesses or assets, asset restructuring and dissolutions and liquidations.
She advises companies pertaining to several sectors on corporate legal matters, assisting them in the drafting of shareholders’ agreements and syndication agreements and in the design of the internal corporate governance regulations (Bylaws, Regulations of the Shareholders’ Meeting and Board of Directors) and of the compensations systems for shareholders and directors. She holds the post of either Secretary or Vice-Secretary of the Board of Directors of certain companies and is in charge of the drafting and formalization of all types of resolutions of the corporate bodies.
On a recurrent basis, she also advises the client on the drafting and negotiation of contracts of all kinds, namely sale and purchase contracts over both movable assets and real estate, lease contracts, contracts for the provision of all types of services, participation accounts, joint venture contracts and strategic alliances, distribution contracts, general terms and conditions, etc.
